This Vendor Agreement ('Agreement') is entered into between INEEDAVENDOR.COM™ ('Platform') and the individual or business entity ('Vendor') registering to list their products or services on the Platform. By completing the Vendor Sign-Up process, you agree to be bound by this Agreement in its entirety.

Eligibility & Registration
To register as a vendor on INEEDAVENDOR.COM™, you must be at least 18 years of age and legally authorized to conduct business in the United States. By completing the Vendor Sign-Up form, you represent and warrant that all information provided is accurate, truthful, and complete.
INEEDAVENDOR.COM™ reserves the right to approve or reject any vendor application at its sole discretion. Approval is not guaranteed and may be subject to review of your business information, category, and compliance with our standards.
Listing Standards & Accuracy
As a vendor, you agree to maintain accurate, current, and complete information in your listing at all times. This includes your business name, contact information, service category, location, and any other details displayed on the Platform.
You are solely responsible for the accuracy of your listing. INEEDAVENDOR.COM™ does not verify vendor information and makes no representations regarding its accuracy. Misrepresentation of your business, services, or qualifications may result in immediate removal from the Platform.
Vendor Conduct & Professionalism
Vendors agree to conduct themselves professionally in all interactions with customers, event planners, and other platform users. You agree not to engage in deceptive, fraudulent, or misleading practices; harass, threaten, or discriminate against any user; make false claims about your products or services; or engage in any conduct that could damage the reputation of INEEDAVENDOR.COM™.
INEEDAVENDOR.COM™ reserves the right to remove any vendor whose conduct is deemed unprofessional, harmful, or in violation of this Agreement, with or without prior notice.
Legal Compliance & Licensing
You represent and warrant that your business complies with all applicable local, state, and federal laws and regulations. You are solely responsible for obtaining and maintaining all required licenses, permits, certifications, and insurance necessary to operate your business legally.
INEEDAVENDOR.COM™ does not verify vendor licenses or certifications. Any claims of licensure or certification in your listing are your sole responsibility. You agree to indemnify INEEDAVENDOR.COM™ for any claims arising from your failure to maintain required legal compliance.
Free Listing & Platform Use
Vendor registration and listing on INEEDAVENDOR.COM™ is currently offered free of charge. INEEDAVENDOR.COM™ reserves the right to introduce paid tiers, premium features, or listing fees in the future. You will be notified of any such changes with reasonable advance notice.
INEEDAVENDOR.COM™ grants you a limited, non-exclusive, non-transferable license to use the Platform solely for the purpose of listing and promoting your business to potential customers.
Customer Transactions
INEEDAVENDOR.COM™ is a directory platform only and is not a party to any transaction between you and a customer. All agreements, contracts, payments, and disputes arising from customer interactions are solely between you and the customer.
You agree to hold INEEDAVENDOR.COM™ harmless from any claims, losses, or damages arising from your transactions with customers, including but not limited to disputes over payment, service quality, or delivery.
Intellectual Property & Content
By submitting content to the Platform (including business descriptions, logos, photos, and other materials), you grant INEEDAVENDOR.COM™ a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute such content for the purpose of operating and promoting the Platform.
You represent and warrant that you own or have the necessary rights to all content you submit, and that such content does not infringe any third-party intellectual property rights.
Termination of Listing
Either party may terminate this Agreement at any time. You may request removal of your listing by contacting us at Contact@ineedavendor.com. INEEDAVENDOR.COM™ may remove your listing at any time for any reason, including but not limited to violation of this Agreement, inactivity, or changes to Platform policies.
Upon termination, your listing will be removed from the Platform. Sections of this Agreement that by their nature should survive termination shall remain in effect.
Disclaimer & Limitation of Liability
INEEDAVENDOR.COM™ provides the Platform on an "AS IS" basis and makes no warranties regarding the number of customer inquiries, leads, or business you will receive through the Platform.
